You understand and agree that we may, but not obligated to, review the Site and may delete or remove (without notice) any Site content that in sole judgment of GreenConduct.com violates this agreement or which might be offensive, illegal, inappropriate, or that might violate the rights, harm, or threaten the safety of users or others.

You agree not to engage in any form of advertising and/or promotional activity to, or solicitation of, other members or non-members to buy, sell or promote products or services through GreenConduct.com.

We do not guarantee the accuracy, completeness, or usefulness of any information on the service and we neither adopt nor endorse, nor are we responsible for the accuracy or reliability of any opinion, advice, or statement made by any party other than us. Under no circumstances are we responsible for any loss or damage resulting from any person´s and/or business´s reliance on information or other content published on GreenConduct.com or transmitted to users.

You are solely responsible at your sole cost and expense for creating backup copies, replacing and/or updating any User (or member) Content you publish or store on the Site or provide to GreenConduct.com. We reserve the right to, but we have no obligation to reject any business, profile or photo that does not comply with the prohibitions set forth in this section.

We reserve the right to without notice and without refund of subscription fees refuse service and terminate membership to anyone (and business) that violates this agreement, at our sole discretion.

The GreenConduct.com site and content available through the service may contain links to other websites, which are completely independent of us. GreenConduct.com makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site.

4. Third Party Content, Sites and Services

GreenConduct.com contains links to other websites (“Third Party Sites”) as well as articles, graphics, pictures, applications, software and other content and items belonging to or originating from third parties. 5. Conduct

You understand that except for advertising programs offered by GreenConduct.com all advertising and any form of promotional activity of products or services are strictly prohibited. You and your business represent, warrant and agree that no materials of any kind submitted through your account or otherwise posted, transmitted, or shared by you on or through GreenConduct.com will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material.

In addition, you agree not to use GreenConduct.com to:

a) publish any form of content with no reference to sustainable development.

b) harvest or collect e-mail addresses or other contact information of other users from GreenConduct.com by electronic or other means for the purposes of sending unsolicited e-mails or other unsolicited communications.

c) use the Service in any unlawful manner or in any other manner that could damage, disable, overburden or impair GreenConduct.com.

d) use automated scripts to collect information from or otherwise interact with GreenConduct.com.

e) upload, post, transmit, share, store or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy, or publicity rights, hateful, or racially, ethnically or otherwise objectionable.

f) upload, post, transmit, share, store or otherwise make available any photos or videos that we deem to be harmful, threatening, unlawful, of a sexual nature, harassing, vulgar, obscene and/or otherwise would violate this agreement.

g) register for more than one forum User account, register on behalf of an individual and/or business other than yourself or the business that you represent.

h) impersonate any person or entity, or falsely state or otherwise misrepresent yourself and/or the business that you represent.

i) upload, post, transmit, share, store or otherwise make available any unsolicited or unauthorised advertising, solicitations, promotional materials, “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or any other form of solicitations.

j) upload, post, transmit, share, store or otherwise make publicly available on GreenConduct.com any private information, of any third party, including addresses, phone numbers, e-mail addresses, Social Security numbers, classified information and/or credit card numbers.

k) upload, post, transmit, share, store or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

l) intimidate or harass other individuals and/or business´s.

m) upload, post, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law.

n) use or attempt to use other individuals and/or business´s account (or membership), service or system without authorisation from GreenConduct.com, or create a false identity on the service and/or GreenConduct.com.

o) upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of GreenConduct.com, is objectionable or which restricts or inhibits any other individual and/or business from using or enjoying the Site, or which may expose GreenConduct.com or its users to any harm or liability of any kind.

p) upload, post, transmit, share, store or otherwise make available content that is false, deceptive, misleading, deceitful and/or misinformative.

q) Our customer care department is here to make your GreenConduct.com experience enjoyable by providing assistance and guidance to you. When speaking to our customer care employees on Skype or communicating with them by any other means, you agree not to be abusive, obscene, profane, offensive, sexually oriented, threatening, harassing or racially offensive. Should any of our customer care employees feel, at any point, threatened or offended by your conduct, GreenConduct.com reserve the right to immediately terminate your account and/or membership without any refund of any unused portion of any subscription payments that we have received from you and/or your business.

6. Privacy and Information Disclosure

7. No Spam Policy

You understand and agree that sending unsolicited e-mail advertisement and/or any other promotional activity to e-mail addresses of GreenConduct.com users and/or members, or through the Service´s computer systems is strictly prohibited. GreenConduct.com reserve the right, but not the obligation, to refuse service without notice and without refund of any unused portion of any subscription payments that we have received from you and/or your business, ban, give out warnings and/or terminate membership to anyone (and/or business) that violates this agreement, at our sole discretion.

8. 30 Day Money Back Guarantee Policy

We want you to be happy with your purchase.

GreenConduct.com therefore offers a 30-Day Money Back Guarantee. If you are not completely satisfied or if the purchase does not meet your expectations, you should notify us within 30 days from the date of purchase and we will process a refund.

Before asking for a refund, we would encourage you to contact us at membership@greenconduct.com to see if there is anything further we can do to make you happy.

9. Termination of the Service

You understand and agree that GreenConduct.com, in its sole discretion, has the right (but not the obligation) to upon violation of our Terms of Use or Privacy Notice delete or deactivate your (and/or your business´) account or membership without notice and without refund of any unused portion of any subscription payments that we have received from you and/or your business. GreenConduct.com also reserves the right to ban, block and/or give out warnings to any user (and/or business) that violates this agreement, at our sole discretion.

Further, you understand and agree that GreenConduct.com shall not be liable to you or any third party for any termination of your access to the Service.

In case you and/or your business wish to terminate the account or membership prior to its final date, and after the 30 day money back guarantee period, GreenConduct.com will not refund any unused portion of any subscription payments that we have received from you and/or your business. Members may either close their account from the member´s area or by e-mailing a request to our Membership Department

Even after membership and/or account is terminated, this agreement will remain in effect. You reserve the right to cancel any subscriptions at any time from your PayPal account, and from the GreenConduct.com members area.

10. Proprietary Rights

All content on GreenConduct.com and available through the Service, including designs, text, pictures, logotypes, video, information, content, applications, software and other files, and their arrangement, are the proprietary property of GreenConduct.com, its users or its licensors with all rights reserved. No site content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without our prior written permission, except that the foregoing does not apply to your own user (and/or member) content that you legally post on GreenConduct.com. Further, exception is also made when users are given the option to click on specific action buttons in order to “share”, “print” and/or “tell a friend” about content that has been published on GreenConduct.com.

By publishing content to any public area of GreenConduct.com, you automatically grant, and you represent and warrant that you have the right to grant, to GreenConduct.com an irrevocable, perceptual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display, and distribute published said content and to prepare derivative material works of, or incorporate into other works, said content, and to grant and authorise sublicenses of the foregoing. By publishing content to any public area of GreenConduct.com to prohibit, but not the obligation to, all rights necessary to prohibit any subsequent aggregation, display, copying, duplication, reproduction, or exploitation of the content on GreenConduct.com by any party for any purpose.

11. Disclaimer of Warranties

FURTHER, WE DO NOT WARRANT THAT YOUR USE OF THE SERVICE WILL BE SECURE, UNINTERRUPTED, ALWAYS AVAILABLE OR ERROR-FREE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED, WE DISCLAIM LIABILITY FOR, AND NO WARRANTY IS MADE WITH RESPECT TO, CONNECTIVITY AND AVAILABILITY.

Although each member must agree to our Terms of Use and Conditions, it is possible that other members or users (including unauthorised users, or “hackers”) may post or transmit offensive or obscene materials through GreenConduct.com and that you may be involuntarily exposed to such offensive or obscene materials. It is also possible for others to obtain personal information about you or the business that you represent due to your use of the service. Those others may use your information for purposes other than what you intended. We are not responsible for the use of any personal information and/or business information that you disclose on GreenConduct.com. Please carefully select the type of information that you post on the Site or release to others.

WE DISCLAIM ALL LIABILITY, REGARDLESS OF THE FORM OF ACTION, FOR THE ACTS OR OMISSIONS OF OTHER MEMBERS OR USERS (INCLUDING UNAUTHORISED USERS), WHETHER SUCH ACTS OR OMISSIONS OCCUR DURING THE USE OR THE SERVICE OR OTHERWISE.

12. Limitations of Liability

13. Violation of Terms and Liquidated Damages

These Terms of Use constitute the entire agreement between you (and/or your business) and GreenConduct.com regarding the use of the Site and /or the Service, superseding any prior agreements between you (and/or your business) and GreenConduct.com relating to your use of the Site and/or the Service. The failure of GreenConduct.com to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision in that or any other instance. If any provision of this agreement is held invalid, the remainder of this agreement shall continue in full force and effect. If any provision of these Terms of Use shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
